The chairman of the Board of Directors

The Board of Directors must have a chairman. Normally it is the formed Board of Directors which must elect its chairman, but in fact it is generally one of the members who accepts to be the head of the Board during the general meeting. The chairman has an important role. He will officially represent the Board, especially in the event of legal action. The chairman can assume specific tasks such as planning meetings of the Board of Directors, summoning members, putting the manager in notice, and having the last word during debates. Logically this role should be endorsed by a experienced co-owner and experienced member of the Board of Directors, but this is not an obligation.

Members of the Board of Directors are appointed at the annual general meeting, their appointment is on the agenda. The board members of the previous year can then choose to stay or leave the board, and other co-owners can register. The chairman is usually elected at the same time, although in theory he should be elected by the board members during a private meeting.

The number of members in the Board of Directors is free, but it is not necessary to elect too many members. It will be useful to find the appropriate number of members to cover all missions in the condominium. This number will obviously depend on the size of the condominium. In all cases it is recommended to elect at least three members and, if possible, an odd number in order to be able to decide when making decisions.

About revocation: a board member may resign during the term of mandate (during the year). A board member will also lose his membership if he sells all his fractions in the condominium (in which case he is no longer a co-owner). And in case of death, of course, his membership will automatically be canceled.

Finally, it is advisable to elect alternate members (substitutes) at the same time as official members of the Board of Directors. Substitutes shall take over from board members whose duties are terminated during the year, for one reason or an other, and so allow the condominium to continue to operate normally.

So, joining the Board of Directors: a « comfortable » or a « hellish » experience ?

The answer: it depends!

If your condominium is well-run, well managed by the management company and by the Board of Directors, without any serious issue, without much work to do, without financial problems, and the board members are united and friendly, then it is comfortable.

You will occasionally have a topic to discuss, your advice to give, a few briefings to ensure, and once a year the accounting to be verified with the managers. That's about it.

On the other hand...

If your condominium has just been delivered, if it is very old (with important works to carry out, for example imperatives of restoration to norms), if it has suffered from important degradations, if your management company is incompetent, or if the Board of Directors is ineffective or not united ... then things are different.

In this case you will probably have to roll up your sleeves and spend more time helping your condominium. That being said, it is in such cases that it is more than ever necessary to find motivated members for the Board of Directors, in order to put things right and put the condominium back on track. This is the right time to show your chivalrous spirit and your ability to solve problems.
